Universe User Agreement

Preamble​

Welcome to the Universe API service!

This "Universe API User Agreement" (hereinafter referred to as "this Agreement") is a service agreement entered into between you (hereinafter also referred to as "User" or "Developer") and the operator of the Universe API platform (hereinafter referred to as "we," "us," or "the Platform") regarding the use of the Universe API service.

Before registering for and using the Universe API service, please carefully read and fully understand the entire content of this Agreement, especially the clauses regarding limitation or exclusion of liability, applicable law, and dispute resolution. By registering, logging in, or using this service, you are deemed to have fully understood and agreed to be bound by this Agreement in its entirety.

I. Definitions and Interpretation​

Universe APIThe large language model API service provided by the Platform, including but not limited to models such as Universe 3.0, Universe 3.0 Pro, Universe 4.5, and their subsequent versions.
API KeyThe unique authentication credential obtained after user registration, used to invoke Universe API endpoints.
TokenThe smallest unit of measurement for the model's processing of natural language text, and also the basic unit of billing.
ConsoleThe web-based administration dashboard where users manage their accounts, view usage, and manage API Keys.
DeveloperAn individual or enterprise user who uses the Universe API service through a registered account.
End UserThe ultimate user who indirectly uses the Universe API service through applications or products developed by the Developer.

II. Account Registration and Management​

2.1 Registration Eligibility​

  1. You must possess full civil capacity. If you are a minor, please read this Agreement accompanied by your legal guardian and use this service only with the guardian's consent.
  2. Enterprise users shall provide true, accurate, and complete registration information and promptly update it when changes occur.

2.2 Account Security​

  1. You are responsible for the proper safekeeping of your account credentials and API Keys, and shall bear full responsibility for all activities conducted under your account.
  2. If you discover any unauthorized use of your account or API Key, or any security vulnerability, you must immediately notify us through the contact information published on the Platform.
  3. Any losses resulting from your failure to properly safeguard your account credentials shall be borne by you.

2.3 Account Restrictions​

  1. The number of accounts and API Keys that each user may register may be subject to Platform limits, as displayed in the Console.
  2. We reserve the right to investigate abnormal account activity (such as abnormally high-frequency API calls, logins from unusual locations, etc.) and, when necessary, suspend or freeze the relevant accounts.

III. Service Content​

3.1 Service Description​

  1. Universe API provides a range of proprietary large language models, offering text generation, conversation, code assistance, and other artificial intelligence services to developers via HTTP API, Python SDK, Java SDK, and OpenAI-compatible interfaces.
  2. The specific available model versions, capability parameters, and feature sets are subject to the real-time display on the Product Introduction page and the Console.
  3. We reserve the right to add, update, or retire model versions and features as business needs require. Relevant changes will be announced in advance through Platform notices.

3.2 Service Availability​

  1. We will use commercially reasonable efforts to ensure the stability and availability of the service, but do not guarantee that the service will be uninterrupted or error-free.
  2. We shall not be held liable for service interruptions or unavailability caused by the following:
    • Scheduled system maintenance and upgrades (to be announced in advance);
    • Force majeure events (such as natural disasters, changes in policies and regulations, etc.);
    • Failures of third-party infrastructure (such as network operators, cloud service providers);
    • Issues with the user's own network environment or code.

3.3 Service Limitations​

  1. To ensure service quality and fair usage, we impose rate limits on API calls. Specific limits are as displayed in the Console.
  2. Requests that exceed the rate limits will be temporarily rejected with the corresponding error code.
  3. We reserve the right to dynamically adjust rate limiting policies based on system load and business needs.

IV. Usage Guidelines​

4.1 Lawful Use​

You agree to comply with all applicable laws and regulations when using the Universe API service, including but not limited to the Cybersecurity Law of the People's Republic of China, the Data Security Law of the People's Republic of China, the Personal Information Protection Law of the People's Republic of China, and the Interim Measures for the Management of Generative Artificial Intelligence Services.

4.2 Prohibited Conduct​

You shall not use this service to engage in the following activities:

  1. Illegal Content: Generating or disseminating content that endangers national security, incites subversion of state power, promotes terrorism, distributes obscene or pornographic material, defames others, or is otherwise unlawful.
  2. False Information: Using this service to generate false news, rumors, fraudulent information, or other misleading content in bulk.
  3. Rights Infringement: Generating content that infringes upon the intellectual property rights, trade secrets, privacy rights, or other legitimate interests of others.
  4. Malicious Use: Using this service to conduct cyberattacks, distribute malware, perform unauthorized data mining, bypass security mechanisms, or engage in similar activities.
  5. Service Abuse: Using automated means to maliciously inflate usage, abuse free quotas, or exploit vulnerabilities for improper gain.
  6. Resale Restrictions: Reselling, leasing, or redistributing API access or accounts without our written permission.
  7. Competitive Conduct: Using the output of this service to train other large language models or to develop artificial intelligence products that directly compete with this service.
  8. Circumventing Limitations: Attempting to bypass rate limits or usage restrictions through multiple accounts, technical means, or other methods.

4.3 Developer Responsibilities​

If you provide the output of Universe API to end users through your application or product:

  1. You shall establish user agreements and privacy policies that comply with legal requirements in your product or service.
  2. You shall conduct necessary content safety review and filtering of end user usage.
  3. You shall prominently inform end users that the relevant content is generated by artificial intelligence.
  4. You shall bear full responsibility for any legal disputes and user complaints arising from your application or product.

V. Intellectual Property​

5.1 Platform Rights​

  1. All intellectual property rights associated with the Universe API service (including but not limited to model algorithms, software code, trademarks, patents, and technical documentation) are owned by us.
  2. Without our written authorization, you shall not reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code or technical implementation details of the service.

5.2 Input Content​

  1. The intellectual property rights of the input content (Prompts) you submit via the API belong to you or you have obtained lawful authorization to use them.
  2. You grant us the necessary permissions to process, store, and transmit such input content in the course of providing the service, solely for the purpose of delivering and improving the service.

5.3 Output Content​

  1. To the extent permitted by law, the usage rights to the output content generated through Universe API belong to you, and you may use it for lawful commercial and non-commercial purposes.
  2. We do not claim ownership of the output content, but make no guarantees regarding the originality, copyrightability, or non-infringement of third-party rights of the output content.
  3. Different users may receive identical or similar outputs from similar inputs. You understand and accept this technical characteristic.

VI. Data Protection and Privacy​

6.1 Data Processing​

  1. We will process your personal information and data in accordance with the "Universe API Privacy Policy" (if published) and applicable laws and regulations.
  2. The input data you submit via the API is used solely to provide API service responses. We will not use it to deliver advertising or marketing to you.

6.2 Model Training​

  1. By default, we do not use users' API input and output data to train or improve our foundation models.
  2. If we introduce a voluntary data improvement program in the future, we will use desensitized data only after obtaining your explicit consent.

6.3 Data Storage and Security​

  1. We will implement industry-standard security measures to protect your data, including but not limited to encryption in transit (TLS), access controls, and audit logs.
  2. Logs of API requests and responses may be temporarily retained in the system for service troubleshooting and abuse detection, and will be automatically deleted upon expiration of the retention period.
  3. You are responsible for backing up the data generated during your use of this service.

VII. Fees and Payment​

7.1 Billing Rules​

  1. Universe API adopts a pay-as-you-go billing model, charging based on the actual number of Tokens consumed. Detailed pricing information and billing rules are subject to the latest publication on the Pricing page.
  2. Fees are deducted in real time from your prepaid account balance, with each API call settled immediately upon completion.

7.2 Top-Up and Balance​

  1. You should ensure that your account balance is sufficient. When the balance is insufficient, API requests will return an error.
  2. Supported top-up methods include Alipay, WeChat Pay, and bank transfers. Enterprise users requiring corporate bank transfers or invoice issuance should contact the business team.
  3. If a prepaid balance remains unused for an extended period, we reserve the right to charge an account management fee or reset the balance to zero in accordance with Platform rules. Specific rules will be announced in advance.

7.3 Refund Policy​

  1. Except as otherwise required by law, prepaid balances are non-refundable in principle.
  2. Any overcharges resulting from service anomalies caused by our side will be proactively refunded to your account balance upon verification.
  3. For refund requests, please contact the customer service team. We will process them in accordance with the Platform's refund policy.

7.4 Price Adjustments​

Product prices may be adjusted in response to market and technological developments. We will notify you in advance of any price changes through Platform announcements. Continued use of the service after a price adjustment constitutes your acceptance of the new pricing.

VIII. Disclaimers​

8.1 Content Accuracy​

  1. The output content of large language models is automatically generated by artificial intelligence algorithms. We make no warranties whatsoever regarding its accuracy, completeness, reliability, suitability, or timeliness.
  2. Model outputs may contain erroneous information, outdated information, or fabricated content. You should independently evaluate and verify the output content.
  3. Any decisions or actions you take based on model outputs are at your own risk and responsibility.

8.2 Service Warranty​

  1. This service is provided on an "as is" and "as available" basis. We make no express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. We do not guarantee that the service will meet your specific requirements, nor that the service will operate without interruption or errors.

8.3 Third-Party Content​

Model outputs may contain information, opinions, or recommendations from third parties. Such content does not represent our position, and we assume no responsibility for it.

IX. Limitation of Liability​

  1. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from the use or inability to use this service, including but not limited to loss of profits, loss of data, or business interruption.
  2. Our total liability to you (whether based on contract, tort, or any other legal basis) shall not exceed the total amount of fees you have actually paid for the use of this service.
  3. The above limitations do not apply to direct losses caused by our willful misconduct or gross negligence.

X. Liability for Breach​

10.1 User Breach​

  1. If you violate any provision of this Agreement, we may take the following measures depending on the severity of the breach:
    • Issue a warning notice requiring rectification within a specified period;
    • Restrict or suspend certain service features;
    • Suspend or terminate your account;
    • Confiscate proceeds from the violation or deduct from your account balance;
    • Pursue legal action.
  2. You shall bear full liability for any losses caused to us or third parties by your breach of this Agreement.

10.2 Platform Rights​

  1. We reserve the right to review and take action against content suspected of violating regulations without prior notice.
  2. We reserve the right to cooperate with law enforcement investigations and provide relevant information.

XI. Service Changes and Termination​

11.1 Service Changes​

  1. We reserve the right to modify, update, or adjust the service content at any time as business development requires, including but not limited to model capabilities, interface parameters, and feature sets.
  2. Material changes will be communicated in advance through Platform announcements, email, or other appropriate means.

11.2 Agreement Modifications​

  1. We reserve the right to modify this Agreement at any time. The modified Agreement will take effect immediately upon publication on the Platform.
  2. Your continued use of this service after the Agreement is modified constitutes your acceptance of the modified Agreement. If you do not agree with the modifications, you should cease using the service and cancel your account.

11.3 Service Termination​

  1. You may terminate this Agreement at any time by canceling your account.
  2. We may terminate or suspend the provision of services to you under the following circumstances:
    • You violate the terms of this Agreement;
    • Your account poses security risks or exhibits abnormal activity;
    • As required by laws, regulations, or regulatory authorities;
    • Other reasonable grounds.
  3. Upon termination of this Agreement, you shall cease using the service, and we reserve the right to delete your account data (except as otherwise required by law).

XII. Governing Law and Dispute Resolution​

  1. The formation, validity, interpretation, performance, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding the laws of Hong Kong, Macau, and Taiwan).
  2. Any disputes arising from or in connection with this Agreement shall first be resolved through friendly negotiation between the parties.
  3. If no resolution is reached through negotiation, either party may file a lawsuit with the competent People's Court in the jurisdiction where we are located.

XIII. Miscellaneous​

  1. Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the use of this service, superseding all prior oral or written agreements.
  2. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  3. Assignment: We reserve the right to assign our rights and obligations under this Agreement to affiliates or third parties without your additional consent. You may not assign your rights and obligations under this Agreement without our written permission.
  4. Waiver: Our failure or delay in exercising any right under this Agreement shall not constitute a waiver of that right.
  5. Notices: Notices sent by us through Platform announcements, Console messages, registered email, or other channels shall be deemed effectively served.
  6. Headings: The headings of the clauses in this Agreement are for convenience of reference only and shall not affect the meaning or interpretation of the provisions.
